Ionic Digital Provides Update on 2025 Annual Meeting of Stockholders

Ionic Digital Inc. (“Ionic” or the “Company”) today announced that it will reconvene its previously adjourned annual meeting of stockholders (the “Annual Meeting”) on July 2, 2025 at 9:00 a.m. Eastern Time. The Annual Meeting will be virtual-only, the live webcast of the meeting will be available via the virtual meeting portal at www.proxydocs.com/IONICDigital. To participate in the Annual Meeting, you must pre-register at www.proxydocs.com/IONICDigital by July 1, 2025, at 10 p.m. Eastern.

Pursuant to the Delaware Court of Chancery’s post-trial decision in Vejseli et. al. v. Ionic Digital Inc. et. al., available at https://courts.delaware.gov/Opinions/Download.aspx?id=379920, stockholders will be permitted to submit nominations for two Class I director seats for a ten-day period beginning June 4, 2025, and ending June 13, 2025. Other than with respect to the re-opening of the nomination window, nominations must comply with the requirements of the Company’s Third Amended and Restated Bylaws.

If you have previously provided a proxy in connection with the Annual Meeting, and you do not wish to make any changes with respect thereto, your previously provided proxy will remain valid.
